Terms of Service

1. Acceptance
These terms (“Terms”) form a binding agreement between you and [YOUR COMPANY LEGAL NAME](“Ledgera”, “we”, “us”), registered at [YOUR REGISTERED ADDRESS, COLOMBO, SRI LANKA], governing your access to and use of the Ledgera service (the “Service”). By creating an account, accessing, or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. Your account
- You must provide accurate information when registering and keep it current.
- You are responsible for safeguarding your password and for all activity under your account. Notify us immediately of any unauthorised use.
- You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service.
- One natural person should not maintain multiple accounts; use roles within a single company (admin, manager, accountant, employee) to share access.
3. Acceptable use
You will not:
- Use the Service to violate any law (including Sri Lankan tax, financial, or data-protection law).
- Upload or generate content that is unlawful, infringing, defamatory, or designed to harass another person.
- Reverse-engineer, scrape, or systematically extract the Service beyond the export and API surfaces we provide.
- Attempt to access another tenant's data, probe for security vulnerabilities, or use the Service to send unsolicited bulk email.
- Resell, sublicense, or rebrand the Service without our prior written agreement.
We may suspend or terminate accounts that violate this section, with or without notice depending on severity.
4. Subscription, fees, and refunds
Pricing tiers and the features included on each are listed at ledgera.app/#pricing. By subscribing to a paid plan you authorise us (or our payment processor) to charge the applicable fees plus any taxes on the billing cycle you choose.
- Fees are billed in Sri Lankan Rupees (LKR) unless otherwise stated, in advance, and are non-refundable except where required by law.
- We may change pricing on 30 days' notice; price changes apply at the start of your next billing cycle.
- If you cancel a paid plan, you retain access until the end of the current billing cycle and then return to the free tier (or account closure, at your choice).
5. Your data
You own the records you create in the Service (invoices, bills, contacts, transactions, journal entries, etc.). We hold them on your behalf to provide the Service. You can download a complete JSON export at any time from Settings → Backup & restore.
You grant us the limited rights needed to host, process, and display your data in providing the Service to you and your authorised users. We do not use your business records to train machine-learning models or to market to other customers.
6. Service availability and changes
We aim to keep the Service running reliably, but we do not guarantee uninterrupted availability and we do not, in this version of the Terms, offer a contractual uptime SLA. Maintenance windows, infrastructure incidents, and outages outside our control may interrupt access.
We may add, change, or remove features. For material removals affecting paid tiers, we will give reasonable notice.
7. Third-party integrations
The Service connects to third-party providers including but not limited to PayHere, OnePay, your email/SMTP provider, your bank (when you import statements), and our hosting and monitoring providers. Those providers operate under their own terms; we are not responsible for their acts or omissions.
8. Intellectual property
The Ledgera platform — including its source code, design, brand, and documentation — is owned by us and protected by intellectual- property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms; nothing else.
You may use the Ledgera name and marks only as we explicitly permit (e.g., to identify yourself as a customer).
9. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
Ledgera is bookkeeping software. It does not provide tax, legal, or professional accounting advice. Always consult a qualified professional for advice on your specific situation.
10. Limitation of liability
To the maximum extent permitted by law, our aggregate liability under or in connection with these Terms — whether in contract, tort, or otherwise — is limited to the fees you paid us in the twelve (12) months immediately preceding the claim.
We will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility.
Nothing in these Terms excludes liability that cannot be excluded under Sri Lankan law (for example, liability for fraud or for death or personal injury caused by negligence).
11. Indemnity
You will defend, indemnify, and hold us harmless from any claim, demand, loss, or expense (including reasonable legal fees) arising from your use of the Service in breach of these Terms or applicable law, or from content you upload that infringes the rights of any third party.
12. Termination
You may close your account at any time. We may suspend or terminate your account for breach of these Terms, prolonged inactivity on a paid plan with unpaid fees, or where required by law. On termination, your right to access the Service ends, but your data is retained per section 6 of the Privacy Policy and you can download a backup before termination takes effect.
13. Governing law and disputes
These Terms are governed by the laws of the Democratic Socialist Republic of Sri Lanka, without regard to conflict-of-laws principles. The courts of Colombo, Sri Lanka have exclusive jurisdiction over any disputes arising under these Terms, except that we may seek injunctive relief in any competent court to protect our intellectual-property rights.
14. Changes to these Terms
We may update these Terms as the service or applicable law changes. When we do, we will update the “Effective date” at the top and, for material changes, notify account admins by email. Continued use of the Service after a change constitutes acceptance.
